If these Terms conflict with a signed client agreement, the signed client agreement controls for that engagement.

Cenlyx may create complimentary or preliminary website previews, audits, mockups, recommendations, prototypes, automation concepts, or demonstrations for prospective clients.

Unless otherwise agreed in writing:

• These materials are preliminary and illustrative
• They are not completed production deliverables
• They may contain placeholder content or assumptions
• They may not be copied, published, transferred, resold, modified, or commercially used without written authorization
• Cenlyx retains all ownership and intellectual-property rights in the concepts, designs, code, systems, and materials
• No ownership is transferred merely because a preview or proposal was presented

Final ownership and licensing rights are determined by the applicable written client agreement and satisfaction of all payment obligations.

5. Intellectual Property

The website and its content, including its branding, logos, text, designs, layouts, graphics, software, source code, workflows, methodologies, documentation, proposals, previews, videos, and other materials, are owned by or licensed to Immanis Capital LLC.
